Terms of Service
Last updated October 21, 2026
These terms are an agreement between Up-Board CRM LLC ("UpBoard," "we," "us") and the dealership or business that uses UpBoard ("you"). By signing up for or using UpBoard, you agree to them. If you sign for a business, you confirm you're allowed to.
1. The service
UpBoard is a CRM for car dealerships. It keeps your leads, texts, emails, calls, appointments and tasks in one place, and it can send texts automatically, including AI-written replies, when you turn those features on. We may improve or change features over time. We'll tell you before removing anything important.
2. Your accounts
Each person on your team gets their own sign-in. Keep passwords private. You're responsible for what happens under your accounts, and for removing people who leave. Tell us right away at support@upboard.org if you think an account has been misused.
3. Texting rules and consent
Texting customers is regulated, including by the Telephone Consumer Protection Act (TCPA), CTIA guidelines, carrier rules and state laws. You are the sender of your texts, and you agree to:
- Text only people who gave you consent to text them (for example, on your lead form, by texting you first, or in person), and keep a record of that consent.
- Get the required written consent before sending marketing texts, including text blasts and "time to trade?" messages.
- Register your texting with the carriers when required (A2P 10DLC or toll-free verification) and keep that registration accurate.
- Keep a privacy policy and texting terms on your website. UpBoard gives every dealership pages it can use (/privacy and /sms-terms on its UpBoard address).
- Not send illegal, misleading, harassing or hateful content, or texts about prohibited topics such as cannabis or loans you aren't licensed to offer.
- Not get around UpBoard's protections, such as STOP opt-outs and quiet hours.
UpBoard helps you follow the rules. It honors STOP and HELP automatically, holds automatic texts during quiet hours, and adds the opt-out line to first texts. You're still responsible for your messages and your consent records. "Send now anyway" during quiet hours is your team's choice.
4. AI features
AI replies can be wrong. UpBoard tells the AI to leave prices, trade values, payments and rates to a person, but you should check conversations and set the AI up to fit your store. You're responsible for the texts sent on your behalf. You can turn AI replies off at any time.
5. Your data
Your customer information belongs to you. You give us permission to store and process it only to provide UpBoard, as described in our Privacy Policy. We act as your service provider and won't sell it or use it for anything else. You can ask for an export at any time. If you leave, we keep your data for 90 days so you can get a copy, then delete it, except for backups that age out within six months.
You're responsible for having the right to give us the information you put in UpBoard, including leads you import from other systems.
6. Phones and other services
UpBoard works with services we don't control, such as Twilio, SMS Gateway for Android, mobile carriers, email providers and AI providers. Their outages, filtering and fees aren't under our control. If you text through your own Android phone, keeping that phone on, charged and connected is up to you. Carrier and Twilio fees are yours unless your plan says otherwise.
7. Fees
Fees are in your order or invoice. Unless we agree otherwise, plans renew monthly and you can cancel at any time, effective at the end of the paid period. We may change prices with 30 days' notice.
8. Acceptable use
Don't use UpBoard to break the law, send spam, attack or overload our systems, try to get into other dealerships' data, or resell UpBoard without our permission. We may suspend accounts that put our service, carriers or other customers at risk. Where we can, we'll tell you first.
9. Availability
We work to keep UpBoard running and back it up every day, but we don't promise it will never go down or never lose data.
10. Disclaimers
Except as these terms say, UpBoard is provided "as is," without warranties of any kind, including fitness for a particular purpose. We don't give legal advice. Talk to your own attorney about texting laws.
11. Limits on liability
To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or lost profits. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim.
12. Your responsibility to us
You'll defend and cover us against claims from third parties, including TCPA claims, arising from your texts, your consent records, your data or your breach of these terms.
13. Ending the agreement
You can stop using UpBoard at any time. We can end these terms with 30 days' notice, or right away if you seriously break them. Sections 5, 10, 11, 12 and 14 continue after the agreement ends.
14. General
These terms are governed by the laws of the State of Indiana. Disputes go to the state or federal courts in Indiana. If we update these terms, we'll post the new version here and email you about important changes. Continuing to use UpBoard means you accept them. If a part of these terms can't be enforced, the rest still applies.
